These Terms of Service ("Terms") constitute an agreement between you and NodeKeeper ("we", "us") regarding your use of the NodeKeeper software, website, and related services (the "Service"). By creating an account, downloading, installing, or purchasing a paid license, you confirm that you have read, understood, and accepted these Terms. If you do not agree, please do not use the Service.
NodeKeeper is a Linux server management agent offering reverse proxy, database instance management, automatic SSL issuance, firewall, tamper protection, website hosting, and related features. We deliver the Service as "SaaS + on-host Agent": you deploy the Agent on your own servers; we provide license verification, remote updates, and technical support in the cloud.
You must register with a valid email and safeguard your credentials, two-factor secret, and generated license tokens. You are solely responsible for any consequences of account or license disclosure caused by you. You must ensure the servers, data, and domains you manage with the Service are lawful.
The Free tier is permanently free with feature limitations. Paid tiers are billed as "plan × node count × cycle (monthly/yearly)" via Stripe. Subscription orders auto-renew at each cycle end; you may cancel at any time via the Stripe Customer Portal — the license remains valid until the current cycle ends. One-time orders do not auto-renew; you must purchase again at expiry.
Paid plans may be refunded in full within 7 days of purchase, **provided the corresponding license has not been "extracted"** (signed into a usable nk-lic token). Extracted licenses are considered used and **non-refundable**. Auto-renewal charges already processed are not refundable, but you may cancel the next cycle immediately.
Paid licenses are granted only to you (or the entity you represent) for the number of nodes purchased. Licenses are bound to machine fingerprint or IP CIDR; you must not duplicate licenses across machines, share license tokens with third parties, or modify the NodeKeeper binary to bypass license verification. Violations may result in immediate license revocation without refund.
All rights in the NodeKeeper software, website, documentation, and brand assets belong to NodeKeeper. We grant you a **limited license to use** within these Terms; no ownership transfer occurs. You may not decompile, reverse engineer, or publicly disclose NodeKeeper's private keys, signing algorithms, or license verification logic.
You may not use the Service for unlawful, infringing, spam, network attacks, cryptocurrency mining, unauthorized data scraping, or malware distribution; you may not circumvent technical protections (including tamper protection, license verification, security access controls). We may suspend or terminate the Service immediately upon discovering such conduct.
Our collection, use, and storage of your personal information and business data is governed by the Privacy Policy. You have rights to access, correct, and delete your data to the extent permitted by applicable law (including GDPR, CCPA).
We will use commercially reasonable efforts to maintain availability, but do not guarantee zero downtime. The Service is provided "AS IS" and "AS AVAILABLE", and to the maximum extent permitted by law we make no warranties of merchantability, fitness for a particular purpose, or non-infringement. We are not liable for issues caused by third-party components (Stripe, Cloudflare, upstream open-source dependencies).
To the maximum extent permitted by applicable law, our total liability to you (whether in contract, tort, or otherwise) shall not exceed the total fees you actually paid us in the 12 months prior to the event. We are not liable for indirect, consequential, lost profits, business interruption, or data corruption/loss.
You may stop using the Service, cancel subscriptions, or close your account at any time. We may terminate the Service immediately upon material breach of these Terms, without refund. Upon termination, licenses are revoked; you must uninstall the NodeKeeper software.
These Terms are governed by the laws of Japan (excluding its conflict-of-laws rules). Disputes shall first be attempted to be resolved amicably; failing that, they shall be exclusively submitted to the Tokyo District Court.
These Terms may evolve with the product. Material changes will be notified via email or sign-in page. Continued use after changes implies acceptance; if you do not accept, please stop using the Service and contact us.
